Agreement to Terms

These Terms and Conditions ("Terms") govern your access to and use of the Sequoia GEO website (sequoiageo.com) and services. By accessing or using our Site and services, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Site or services.

Services Provided

Sequoia GEO provides digital marketing services for contractors and local service businesses, including but not limited to:

  • Search Engine Optimization (SEO)
  • Pay-Per-Click (PPC) advertising management
  • Google Local Services Ads (LSA) management
  • Google Business Profile (GBP) optimization
  • Website design and development
  • Fractional CMO services
  • Marketing strategy and consulting

Specific services, deliverables, timelines, and pricing will be outlined in individual service agreements or proposals.

Service Agreements

When you engage our services, you will enter into a separate service agreement that outlines the scope of work, deliverables, payment terms, and other specific terms. That service agreement, together with these Terms, constitutes the entire agreement between you and Sequoia GEO. In the event of a conflict between these Terms and a service agreement, the service agreement will prevail.

Payment Terms

Fees and Billing

Fees for our services will be specified in your service agreement. Unless otherwise stated, fees are due upon receipt of invoice. We accept payment via credit card, ACH transfer, or check.

Late Payments

Invoices not paid within 30 days of the invoice date may be subject to a late fee of 1.5% per month (18% annually) or the maximum rate permitted by law, whichever is less. We reserve the right to suspend services for accounts with overdue balances.

Advertising Spend

For PPC and LSA management services, you are responsible for all advertising costs charged by third-party platforms (Google Ads, Google Local Services, etc.). These costs are separate from our management fees and are billed directly by the advertising platforms.

Client Responsibilities

To enable us to provide effective services, you agree to:

  • Provide timely access to necessary accounts, platforms, and information
  • Respond to requests for feedback and approvals within agreed timeframes
  • Provide accurate and complete information about your business
  • Maintain active accounts with third-party platforms (Google, social media, etc.)
  • Comply with all applicable laws and regulations
  • Ensure your website and online presence comply with platform policies

Performance and Results

No Guarantees

While we use industry best practices and proven strategies, we cannot guarantee specific results, rankings, traffic levels, or revenue increases. Digital marketing results depend on many factors beyond our control, including market conditions, competition, platform algorithm changes, and your business operations.

Timeline Expectations

SEO typically requires 3-6 months to show measurable results. PPC and LSA campaigns may show results within 2-4 weeks. Actual timelines vary based on market conditions, competition, and campaign specifics.

Intellectual Property

Client Content

You retain ownership of all content, materials, and intellectual property you provide to us. By providing content, you grant us a license to use, modify, and display it for the purpose of providing our services.

Our Work Product

Upon full payment, you own the final deliverables we create specifically for you (website designs, content, etc.). However, we retain ownership of our methodologies, processes, tools, templates, and any pre-existing intellectual property.

Portfolio and Case Studies

We may use your project as a case study or portfolio piece unless you request otherwise in writing. We will not disclose confidential information without your permission.

Confidentiality

We will keep confidential any non-public information you share with us, including business strategies, financial information, and customer data. This obligation survives termination of our services. We may disclose confidential information if required by law or with your written consent.

Term and Termination

Service Term

The term of our services will be specified in your service agreement. Most services are provided on a month-to-month or fixed-term contract basis.

Termination by Client

You may terminate services by providing 30 days' written notice. You remain responsible for payment of all fees incurred through the termination date, including any non-refundable setup fees or work in progress.

Termination by Sequoia GEO

We may terminate services immediately if you breach these Terms, fail to pay invoices, or engage in conduct that damages our reputation or violates platform policies.

Post-Termination

Upon termination, we will provide you with access to your accounts and any work product you have paid for. We are not responsible for maintaining or transferring data after termination unless separately agreed.

Limitation of Liability

To the maximum extent permitted by law, Sequoia GEO's total liability for any claims arising from our services will not exceed the total fees paid by you in the 12 months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost revenue, or lost business opportunities.

Indemnification

You agree to indemnify and hold harmless Sequoia GEO from any claims, damages, or expenses arising from: (1) your breach of these Terms, (2) your violation of any law or third-party rights, (3) content you provide to us, or (4) your use of our services.

Third-Party Platforms

Our services often involve third-party platforms (Google, Facebook, etc.). We are not responsible for changes to platform policies, algorithms, or pricing. You are responsible for complying with all platform terms of service. Platform suspensions or account issues beyond our control are not grounds for refunds or liability.

Dispute Resolution

Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles.

Arbitration

Any disputes arising from these Terms or our services will be resolved through binding arbitration in Fresno, California, in accordance with the rules of the American Arbitration Association. You waive the right to participate in class actions or class arbitrations.

Changes to Terms

We may update these Terms from time to time. The updated version will be indicated by an updated "Last Updated" date. Continued use of our services after changes constitutes acceptance of the new Terms.
